1 The Services
1.1. Services on the Leya Platform are offered on an as-is and as-available basis. To the extent permitted by law, Leya expressly disclaims all, and You receive no, warranties and conditions of any kind, whether express or implied, including by not limited to, those of merchantability, satisfactory quality, title, fitness for a particular purpose, and non-infringement. Leya does not guarantee that the Leya Platform is error-free and the availability and functionality of the Leya Platform may be subject to limitations, delays and interruptions beyond our control.
1.3. Leya reserves the right to modify, suspend, or discontinue the Leya Platform, or any part thereof, at any time. Leya shall not be liable to the User or any third party for any such modifications, suspensions or discontinuations.
2 Registration and access
2.1. In order to use the Services, you will have to create a user account (the “User account”) and sign in to it. Instructions on how to create a User account are set forth in our Leya Platform.
2.2. You may choose a username and a password to sign in to your User account. If you choose to create a new User account, the username and password which you choose must not be harmful, abusive, racially or ethnically offensive, sexually explicit, defamatory, infringing any intellectual property right or invasive of personal privacy rights. We have the right to change your username if it, in our opinion, violates these Terms.
2.4. Your User account is personal, and you are not allowed to transfer your User account to any third party or to allow a third party to use the Services through your User account. You are responsible for protecting your login information from access by unauthorized persons. If you have reason to believe that any third party has gained access to your User account, you must immediately inform us. We have the right, but not the obligation, to suspend access to your User account if we have reason to believe that any third party has gained unlawful access to your User account.
2.5. Please note that if your User account is left inactive during a period of 90 consecutive days, we have the right to make your User account “invisible”, meaning that all account information is saved, but the User account is de-activated and needs to be activated for you to be able to use it again. Additionally, if your User account is left inactive during a period of 365 consecutive days, we have the right to cancel your User account permanently.
2.6. In order to make full use of the Services, you may need additional hardware such as a computer, smartphone or tablet. Such hardware is not provided by us and is your responsibility to acquire.
2.7. You are responsible for securing your access to the network connectivity necessary to use the Leya Platform. There may be additional costs for e.g. transfers of data and messaging services. These costs are not paid by us. Furthermore, you are responsible for obtaining and keeping the necessary hard- or software up to date to access and use the Leya Platform.
The Services may include third party services and content. Third party services and content in the Leya Platform are not provided by Leya and are subject to separate terms.
3 Usage Requirements
3.1. When using the Services on our Leya Platform, you must comply with applicable laws, with these Terms and Leya’s instructions. We own all rights, title, and interest in and to the Services.
3.2. If you provide any feedback, we may use it without restriction or compensation to you.
3.3. You may not (i) use the Services in a way that infringes, misappropriates or violates any person’s rights; (ii) reverse assemble, reverse compile, decompile, translate or otherwise attempt to discover the source code or underlying components of models, algorithms, and systems of the Services (except to the extent such restrictions are contrary to applicable law); (iii) use output from the Services to develop models that compete with Leya; (iv) use any automated or programmatic method to extract data or output from the Services, including scraping, web harvesting, or web data extraction; (v) represent that output from the Services was human-generated when it is not or otherwise violate our Terms or; (vi) buy, sell, or transfer API keys without our prior consent.
3.4. Many parts of our services are based on a language model. When using our Services, the language model is an automated system and lacks human comprehension. We disclaim responsibility for the accuracy or reliability of the generated content if any discrepancies should arise.
3.5. The User acknowledges that its right to use the Leya Platform is contingent upon its status as an employee of our customer. In the event the User ceases to be an employee of the customer for any reason, including but not limited to termination, resignation, or retirement, the User’s right to use the Leya Platform shall automatically and immediately cease. Upon cessation of the User’s employment with the Customer, the User shall immediately discontinue all access and use of the Leya Platform and return or destroy any confidential or proprietary information, materials or documentation related to the Leya Platform.
4.1. We reserve the right to temporarily or permanently deactivate or restrict access to the Leya Platform, in whole or in part, due to:
a) Technical and/or security reasons;
b) Disruptions arising due to force majeure, i.e., events beyond our reasonable control, including but not limited to, pandemic and epidemic diseases, natural disasters, strikes, lockouts, official orders and/or lack of performance by subcontractors and/or third-party providers necessary for the proper provision and/or function of the Services; or
c) Your breach of these Terms.
4.2. Leya will to the extent possible provide you prior notice of the deactivation or restriction of your access to the Services.
5 Data Protection, Confidentiality and Security
5.1. You hereby grant Leya a worldwide, non-exclusive, transferable and sub-licensable right to (i) use the data (including personal data) you provide while using the Services as necessary to provide you with the Leya Platform, and (ii) use the data (including personal data) you provide while using the Services in an anonymized form for the purpose of managing and improving the quality, safety and security of the platform.
5.2. We take reasonable technical and organizational security measures that we deem appropriate to protect your stored data against manipulation, loss, or unauthorized third-party access. Our security measures are continually adapted to technological developments.
5.3. Leya and the service providers that we retain are required to maintain secrecy and comply with applicable data protection legislation. In addition, they are granted access to personal data only insofar as this is necessary for them to carry out their respective tasks or mandate.
5.4. Leya acknowledges the importance of protecting the confidentiality and security of user-uploaded documents. As part of our commitment to safeguarding user data, the user-uploaded documents are encrypted during transmission and storage to help ensure their confidentiality and integrity. Encryption is a security measure that converts the information contained in the documents into an unreadable format using cryptographic algorithms. Our encryption process helps protect the User’s documents from unauthorized access or interception by third parties.
5.5. While Leya takes reasonable precautions to maintain the security of the encrypted documents, it is important to note that no method of data transmission or storage can be completely secure. Despite our efforts, there may be factors beyond our control that could potentially compromise the encryption or security of user-uploaded documents. By using our Services, the User acknowledges and accepts the inherent risks associated with data transmission and the potential for unauthorized access or breaches.
5.6. The User agrees that Leya shall not be held liable for any damages, losses or liabilities arising out of or related to the unauthorized access, disclosure, alteration, or destruction of user-uploaded documents, except in cases of proven willful misconduct or gross negligence.
5.7. You must implement reasonable and appropriate measures designed to help secure your access to and use of the Services on the Leya Platform. If you discover any vulnerabilities or breaches related to your use of the Services, you must promptly contact us at email@example.com and provide details of the vulnerability or breach.
5.9. We may track user behavior in order to improve our Service. If you do not wish us to do so, please refrain from using the Leya Platform.
5.10. Leya, or any third-party Legal Language Model (LLM) provider such as Microsoft, shall not utilize any data derived from user input queries or user-uploaded documents for the purpose of training an Artificial Intelligence (AI) model. Notwithstanding the foregoing, in the event that Leya provides a custom model to a specific customer in the future, the use of such data may be permitted, subject to separate regulation.
6 Intellectual Property Rights
6.1. The Services on our platform and the content therein provided by Leya are the property of Leya, its direct or indirect subsidiaries or affiliated companies (hereinafter referred to collectively as “Group”) or its licensors. You must not sell, distribute, publish, broadcast, circulate, exploit, reproduce (in whole or part), transmit (by electronic means or otherwise), modify, display, redeliver, license, or otherwise use the Services and/or Leya Platform for any public or commercial purpose without our prior permission. All rights in the Services, including the software, the content, are protected and owned by the Group and its licensors.
6.2. Nothing in these Terms shall be construed as a transfer of ownership of the Services or any intellectual property rights such as trademark, service mark or logo, all of which are the property of Leya and its licensors. Leya reserves all rights with respect to the Services and any proprietary material and information.
6.3. Leya does not own Documents or prompts/queries You upload to the platform.
